These Terms & Conditions ('Terms') govern your access to and use of the Ayala Fine Art website (the 'Site') and any purchase, commission, or inquiry made through it. Ayala Fine Art is operated by the artist Ayala from Israel, and the Site serves visitors, collectors, and clients worldwide. By using the Site, browsing the gallery, or contacting us to purchase or commission a painting, you agree to these Terms. If you do not agree with any part of these Terms, please do not use the Site.

1. Definitions

'Ayala Fine Art', 'we', 'us', and 'our' refer to the artist Ayala, operating as Ayala Fine Art from Israel. 'Site' means the Ayala Fine Art website. 'You' and 'your' refer to any visitor to the Site or any person or organization requesting, placing, or confirming an order or commission. 'Artwork' means any painting or other work of art offered, sold, or commissioned through the Site. 'Commission' means a custom artwork created for you based on specifications agreed with the artist.

2. Eligibility

By using the Site or placing an order or commission, you confirm that you are at least 18 years old, or the age of legal majority in your jurisdiction, and that you have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company, gallery, hotel, or other organization, you confirm that you are authorized to bind that organization to these Terms.

3. Orders & Purchases

The Site does not include an automated shopping cart or online checkout. Every purchase, sale, or commission is arranged individually and directly with the artist by email or WhatsApp. No order is binding on Ayala Fine Art until it has been expressly confirmed in writing (including by email or WhatsApp message) by the artist. Ayala Fine Art reserves the right, at its sole discretion, to decline, limit, or cancel any inquiry or proposed order before such confirmation, including where a work has already been sold, where the requested commission is not feasible, or for any other legitimate business reason.

4. Payments

The Site does not process payments and does not collect or store payment card details. Payment for any purchase or commission is arranged directly between you and the artist, outside of the Site, using payment methods agreed between the parties at the time. You are responsible for any fees charged by your bank, card issuer, or payment or currency-conversion provider in connection with your payment. Full payment (or an agreed deposit, where applicable) may be required before a work is shipped, delivered, or a commission is begun, as agreed between you and the artist.

5. Pricing, Currency & Availability

Prices displayed on the Site are shown in US Dollars by default, with an approximate conversion to other currencies for convenience only, based on publicly available exchange rates that may not reflect real-time rates. The actual price and currency of any transaction will be confirmed directly with you before payment. Ayala Fine Art reserves the right to change prices at any time without notice, and prices shown on the Site do not constitute a binding offer until confirmed by the artist for a specific work or commission. All artworks are offered subject to availability; an original painting may sell at any time, including after you have expressed interest but before your order is confirmed.

6. International Shipping

Ayala Fine Art ships worldwide. Shipping arrangements, carriers, packaging, insurance, delivery times, and shipping costs are agreed individually for each order directly with the artist, and are not automated through the Site. Estimated delivery times are not guaranteed and may be affected by customs processing, carrier delays, or events beyond our control (see 'Force Majeure' below). Risk of loss or damage to a painting passes to you upon delivery to the carrier, unless otherwise agreed in writing.

7. Customs, Duties & Taxes

If you order from outside Israel, your shipment may be subject to import duties, customs fees, VAT, or other taxes imposed by your country. These charges are your sole responsibility and are not included in the artwork price or shipping cost quoted to you. Ayala Fine Art has no control over these charges and cannot predict their amount. You are responsible for complying with the customs and import regulations of your own country.

8. Cancellations, Returns & Refunds

Because each painting sold through the Site is an original, one-of-a-kind work of art (or a custom commission made specifically for you), all sales are final once an order has been confirmed, except where a mandatory consumer-protection law applicable to you grants you a right of cancellation, return, or refund that cannot be excluded by agreement — in which case that mandatory right will apply to the extent required by that law. If you believe a painting arrived damaged, or materially different from what was described and confirmed with you, please contact us within a reasonable time of delivery so the matter can be reviewed on a case-by-case basis. Any cancellation of a custom commission after work has begun may not be possible, or may only be possible with payment for work and materials already completed, as agreed with the artist.

9. EU/UK Right of Withdrawal

If you are a consumer located in the European Union or the United Kingdom, and you purchase a ready-made original painting that was not customized or personalized for you, applicable consumer protection law (such as the EU Consumer Rights Directive) may give you a right to withdraw from the purchase within 14 days of receiving the artwork, without giving a reason, provided the artwork is returned in its original condition. This right of withdrawal does not apply to custom commissions or any artwork made or personalized to your specifications, which are excluded from withdrawal rights under that law because they are made to your specification. If you wish to exercise a withdrawal right that applies to you, please contact us within the applicable period; you may be responsible for the direct cost of returning the artwork, and, where permitted by law, for any diminished value resulting from handling beyond what is necessary to establish its nature and condition.

10. Original Artworks

Every painting offered through Ayala Fine Art is an original, handmade work, unless clearly stated otherwise. Because each piece is created by hand, minor variations in texture, brushwork, or gold-leaf application compared to photographs on the Site are natural and expected, and do not indicate a defect. Colors, tones, and finishes (including gold leaf and framing) may also appear slightly different in person than on your screen, due to differences in photography, lighting, and display or device calibration.

11. Custom Commissions

For a custom or commissioned painting, the size, subject, palette, and other details will be discussed and agreed with you directly by the artist before work begins. Because commissioned work is created individually and by hand, exact replication of a reference image, and precise timelines, cannot be guaranteed, and reasonable artistic discretion remains with the artist unless otherwise agreed. Commission terms, including any deposit, timeline, and approval process, will be confirmed directly with you in writing before the work begins.

12. Authenticity

Ayala Fine Art represents that each artwork sold as original is a genuine, original work created by the artist Ayala, unless clearly described otherwise. Where a certificate of authenticity or similar documentation is provided with an artwork, it is provided as a representation from the artist and is not an appraisal or independent third-party certification unless expressly stated. Ayala Fine Art's liability in connection with authenticity is subject to the 'Limitation of Liability' section below.

13. Intellectual Property & Copyright

Ayala, as the artist, retains all copyright and other intellectual property rights in every painting she creates, including custom commissions, both before and after a sale, except where those rights are expressly and separately transferred to you in writing. Purchasing a painting transfers ownership of the physical artwork only; it does not transfer any copyright, reproduction rights, or the right to create derivative works, unless explicitly agreed otherwise. You may not reproduce, print, publish, or create merchandise or other derivative works based on a painting you own without the artist's prior written permission.

14. Use of Site Content

All text, images, photographs of artworks, logos, and design elements on the Site are the property of Ayala Fine Art or are used with permission, and are protected by copyright and other intellectual property laws. You may view and share pages of the Site for personal, non-commercial purposes, but you may not copy, download, reproduce, republish, or use any content from the Site for commercial purposes without prior written permission from Ayala Fine Art.

15. Prohibited Use

You agree not to: use the Site for any unlawful purpose or in violation of any applicable law; attempt to gain unauthorized access to the Site or its underlying systems; interfere with or disrupt the Site's operation; scrape, harvest, or use automated means to extract content from the Site; impersonate any person or entity, or misrepresent your affiliation with any person or entity; or submit false, fraudulent, or misleading information in connection with an inquiry, order, or commission.

16. Export Control & Sanctions

You represent that you are not located in, and are not a resident or national of, any country or region subject to comprehensive trade sanctions, and that you are not otherwise listed on any applicable restricted-party or sanctions list, under Israeli law or the law of any other jurisdiction applicable to the transaction. Ayala Fine Art reserves the right to decline or cancel any order where fulfilling it would violate applicable export control, trade sanctions, or similar laws.

17. Errors & Inaccuracies

The Site is maintained with care, but may occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, dimensions, pricing, availability, or other information. Ayala Fine Art reserves the right to correct any such errors, and to change or update information, at any time without prior notice, including after an order has been placed but before it has been confirmed by the artist.

18. External Links

The Site may contain links to third-party websites or services, such as Instagram or WhatsApp, which are not owned or controlled by Ayala Fine Art. We are not responsible for the content, privacy practices, or terms of any third-party site, and including a link does not imply endorsement. You access any external site at your own risk and subject to that site's own terms.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its content are provided 'as is' and 'as available,' without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Ayala Fine Art does not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on the Site is complete, accurate, or current.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Ayala Fine Art and the artist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or any purchase or commission, even if advised of the possibility of such damages. To the extent any liability cannot be excluded under applicable law, the total aggregate liability of Ayala Fine Art and the artist arising out of or related to a purchase or commission shall not exceed the amount actually paid by you for the relevant artwork. Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Ayala Fine Art and the artist from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of a third party.

22. Force Majeure

Ayala Fine Art shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of war or terrorism, civil unrest, labor disputes, epidemic or pandemic, governmental action, customs delays, or disruption to postal, shipping, or courier services.

23. Governing Law & Jurisdiction

These Terms, and any dispute arising out of or related to the Site, a purchase, or a commission, shall be governed by the laws of the State of Israel, without regard to its conflict-of-laws principles, except where a mandatory law applicable to you as a consumer in your country of residence requires otherwise. Subject to any mandatory consumer-protection law that grants you the right to bring proceedings in your own country, you agree that the competent courts of Israel shall have exclusive jurisdiction over any dispute arising out of or related to these Terms.

24. Language & Notices

These Terms are provided in both English and Hebrew for the convenience of our international clients. In the event of any conflict or inconsistency between the two versions, the Hebrew version shall govern, as Ayala Fine Art operates from Israel and is subject to Israeli law, except where a mandatory law applicable to you as a consumer requires that the version in your own language govern instead. Any legal notice you wish to send us should be sent to the email address in the 'Contact Us' section below; we may send notices to you at the email address or WhatsApp number you have provided to us.

25. General Provisions

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Ayala Fine Art's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign or transfer these Terms or any rights under them without our prior written consent; Ayala Fine Art may assign these Terms in connection with a transfer of its business. These Terms, together with any specific agreement reached directly with the artist regarding a particular order or commission, constitute the entire agreement between you and Ayala Fine Art regarding that order or commission.

26. Changes to These Terms

Ayala Fine Art may update these Terms from time to time, for example as the Site's features change. The date at the top of this page reflects the latest update. Changes will not apply retroactively to an order already confirmed with the artist.
